The verdict

The evidence still leans bearish for the next six months. A country-wide circumvention ruling is due around 2026-12-14, and an unresolved customs review has already cost TOYO its 35% customer, so the US cell business is hostage to two federal agencies. The balance sheet is stronger than report 1 said (net cash, ~$51M related-party loan not ~$94M, positive FCF), and at ~1.4× FY27 consensus EPS the price already…

Bull arguments show how well they survive the devil’s advocate (strong / medium / weak); bear arguments show the damage they could do after the counter-argument (high / medium / low).

Bull case

🐂 Bull #1Policy scarcity shows up in a 32.5% gross margin

  • The point: US trade law has removed most cheap cell sources. TOYO's non-Chinese cells fill that gap at a premium the reported margins already show.
  • Evidence:
    • Gross margin was 12.4% in FY24, 22.5% in FY25, 33.5% in Q1-26 and 31.3% in Q2-26 [1,2,8].
    • US end customers were $210.5M, or 80.7%, of H1-26 revenue [2,4].
    • The US has 3.2 GW of operating cell capacity against ~75 GW of module capacity and ~43 GWdc a year of installs (SEIA dashboard as cited by TOYO) [5,45].
    • Commerce's final Solar IV rates: India AD 123.04%, Indonesia AD 94.36% (CVD up to 173.7%), Laos AD 65.43%. The ITC final vote is on 2026-10-14 and orders follow by ~11-02 if affirmative [26,27].
    • Imports from Cambodia, Malaysia, Thailand and Vietnam fell from $12.2B (2023) to $1.3B (2025) after Solar III [22].
  • Why it matters: Every closed country raises the price of a compliant non-Chinese cell. That premium is what turned a ~5% operating margin (FY24) into 22.5% (H1-26) [1,2].
  • 😈 Devil's advocate:
    • The same pattern now points at Ethiopia: each source that grew fast after the last case became the next case, and Ethiopia went from $0 to >$300M of US imports in about six months [22].
    • Part of the margin jump is accounting, not pricing (see Bear #9): OEM service revenue is booked net, and H1 MD&A credits "provision of OEM services" for the margin rise [3].
  • Verdict: Medium The scarcity is real and measured, but TOYO's route is the next target of the machinery that creates it.

🐂 Bull #2Net cash, positive free cash flow, going-concern doubt removed

  • The point: Report #1 overstated the funding risk. TOYO is self-funding today.
  • Evidence:
    • Cash was $103.5M at 6/30/26, plus $20.0M restricted (total $123.4M, up from $58.9M at Dec-25) [2].
    • Bank debt was only $25.7M, drawn on a $30M BIDV revolver that runs to 2027-02-28. The old $90M BIDV facility was repaid in April 2026, so it is not an undrawn line as report #1 implied [2].
    • The VSUN loan is $48.5M principal plus $2.9M accrued interest ($51.4M), at ~2%, due 2028-06-17 with interest at maturity. Report #1's $93.6M was the 2023 gross amount, ~$38M of which was repaid in 2024 [1,2].
    • H1-26 operating cash flow was $61.4M against $27.8M of capex, so FCF was $33.7M (12.9% margin). H2-25 FCF was ~$42M (derived) [2].
    • The H1-26 statements say going-concern doubt "no longer exists", against "substantial doubt" and a $123.9M working-capital deficit at FY25 [1,2].
  • Why it matters: Interpretation: with net cash of ~$26M (cash less bank and VSUN debt) and no maturity before 2027-02 (revolver) and 2028-06 (VSUN), TOYO can survive a bad ruling for several quarters without a forced raise.
  • 😈 Devil's advocate:
    • The going-concern fix was mostly a reclassification: moving the VSUN loan to non-current turned a $97.1M deficit (Q1) into $29.8M of working capital [2,8].
    • Large claims sit behind the cash:
      • $24.8M of income tax payable (only $18K paid in H1 against $9.6M expense);
      • $40.1M of non-cancellable capex commitments ($33.9M in 2H-26);
      • $114M of customer prepayments that must be delivered in product, or refunded if TOYO cannot ship [2].
    • Inventory rose $52M to $132.1M because orders stopped in June. Q2 FCF was only ~$4.8M [2].
    • The MD&A still says there is "no assurance" that future cash flows will suffice [3].
  • Verdict: Medium Strong. This is the most improved point since report #1. The liquidity risk is a 2027 question, not an H2-26 one.

🐂 Bull #345X credits sit outside guidance and could double earnings

  • The point: The US production credit on Texas modules ($0.07/W), and later on HJT cells ($0.04/W), is not in the numbers the market anchors on.
  • Evidence:
    • On the FY25 call, management said its FY26 guidance was "pre the 45X" (MarketBeat summary, not a transcript) [35].
    • MarketBeat reported management saying 45X could be worth ~$140M a year at full 2 GW module output (2 GW × $0.07/W) [36]. The HJT plant would add up to $60M a year in cell credits (1.5 GW × $0.04/W) [9].
    • On 2026-07-21 TOYO said a third-party analysis supports 2025 eligibility for Toyo Solar Texas [5].
    • The HJT funding plan counts on ~$120M of anticipated 45X credits [5].
  • Why it matters: Interpretation: 1.3 GW of FY27 module output × $0.07/W ≈ $91M is about 65% of the ~$140M net income implied by HCW's FY27 EPS of $3.26. It would mostly be cash, through credit transfer.
  • 😈 Devil's advocate:
    • No dollar amount has been booked or disclosed, and no credit sale has been announced [2,5].
    • The FY25 20-F contains no 45X figure [1].
    • The credit needs the module to pass the non-PFE "material assistance" cost test: 50% for 2026, rising in later years (60% in 2027 per law-firm summaries; we did not verify this in the statute) [21].
    • Ethiopian cells made from wafers of uncertain origin are the biggest input, so 45X and the circumvention case rest on the same unproven paper trail.
    • The safe-harbour tables are due by 2026-12-31 [21].
  • Verdict: Medium Large and real in law, but undisclosed. It only counts once a number appears in a filing.

🐂 Bull #4Texas module plant runs at 2 GW with ~$425M of orders

  • The point: TOYO is becoming a US manufacturer that sells to developers, not only an offshore cell exporter.
  • Evidence:
    • About 2 GW was operating by 2026-09-28. The ribbon-cutting was on 2026-10-06, with Commerce officials present [5,7].
    • Signed orders:
      • two master supply agreements totalling ~$185.6M (June) [9];
      • ~$240M of "binding" agreements since mid-June, delivering through H1-27 and covering utility, C&I, community solar and data centres [7].
      • Whether the $240M includes the $185.6M is not stated.
    • Q2 module revenue was $31.7M, against $7.6M for all of FY25 [1,2].
    • The Section 232 module floor of $0.38/W is above the Anza Q1-26 US TOPCon median of ~$0.285/W. Management calls $0.38 "probably the floor" for its own pricing [19,33,41].
  • Why it matters: The $0.38/W floor on imported modules props up the price TOYO's Texas modules can charge, and the plant qualifies for 45X (Bull #3).
  • 😈 Devil's advocate:
    • The modules use TOYO's own Ethiopian cells. From 2026-12-04 those cells pay the 232 tariff (Bear #7), and an affirmative circumvention ruling would cut off their supply (Bear #1).
    • Customers are unnamed, and the overlap between the two order announcements is unclear.
    • H1 module deliveries were only 191.5 MW against 2 GW of capacity [5].
  • Verdict: Medium This is the strategic core, but it is fed by the cells under investigation.

🐂 Bull #5Price assumes disaster: 1.8× trailing earnings, 1.3× EV/EBITDA

  • The point: The market already prices a very bad outcome.
  • Evidence:
    • Close $4.37 on 2026-10-09; market cap $186.7M; EV $197.8M [37].
    • Trailing P/E 1.83 and EV/EBITDA 1.27 [37]. H1-26 adjusted EBITDA alone was $82.3M [5].
    • FY27 consensus is two analysts: revenue ~$1.03B and EPS ~$3.19–3.33, so the stock trades at ~1.4× FY27 EPS (our arithmetic) [38,39].
    • Peer: First Solar trades at 8.5× forward earnings [37].
    • The stock is down from $17.43 at the 52-week high, and the June offering was at $11 [10,37].
  • Why it matters: Interpretation: if TOYO keeps even half of its H1 run-rate after the rulings, the gap to a single-digit multiple is very large.
  • 😈 Devil's advocate:
    • "Cheap" earnings that rest on a loophole under formal investigation are not cheap.
    • Both covering analysts (H.C. Wainwright: Buy, $18; Roth: Buy, $10) were placement agents on the June offering and run the ATM. Their FY27 numbers predate the June order stop and the July initiation [10,11,40].
    • The FY26 consensus revenue of $568.8M implies an H2 above H1 ($308M vs $261M), while management only promises "positive EBITDA" [6,38].
    • Short interest is 4.29M shares, or 29.5% of a 14.6M-share float, with 4.6 days to cover [37].
  • Verdict: Medium It is a cushion, not a thesis: the multiple says nothing about whether FY27 earnings exist.

🐂 Bull #6Builds capacity fast and beat its FY25 revenue guide

  • The point: Management turns announcements into running plants, which matters for the HJT bridge.
  • Evidence:
    • Ethiopia went 0 → 2 GW (April 2025) → 4 GW (Q3/October 2025) [1,3].
    • Texas line 1 came in October 2025, and ~2 GW was running by September 2026 [5].
    • FY25 revenue was $427.4M against a raised guide of $375–400M, and cell shipments were 4.5 GW against 4.2–4.4 GW. Net income of $37.2M was slightly below ~$39–45M [1,48].
  • Why it matters: The $357M, 1.5 GW HJT plant (pilot "no later than Q1 2028") is TOYO's exit from the Ethiopia trade risk [5,9].
  • 😈 Devil's advocate:
    • The financial record is worse than the build record:
      • The FY24 earn-out benchmark was $41M of profit; it delivered $5.4M, and 11.29M of 13M earn-out shares were cancelled [1].
      • FY24 numbers changed between the preliminary release (2025-04-28) and the audited 20-F [47].
      • FY26 guidance was withdrawn (Bear #4).
    • HJT construction has not started, permits are pending, and the ~$120M of debt is "in the planning stages; no definitive documentation has been signed" [5].
    • Canadian Solar's US HJT fab is already open (2.1 GW, 2026-07-24) and about 18 months ahead [29].
  • Verdict: Weak Medium. Building plants abroad is proven. Hitting financial targets is not.

🐂 Bull #7Commerce has floated a certification path for non-China wafers

  • The point: A paper-trail exit from the circumvention case exists.
  • Evidence:
    • TOYO's Analyst Day deck says Commerce officials, at a meeting around 2026-10-01, "identified certification as a possible mechanism and agreed to consult the case team. No decision or timetable was provided" [5].
    • TOYO cites the 2023 Southeast Asia inquiries, where cells from wafers made outside China were not treated as Chinese even with Chinese polysilicon [5]. We have not verified that reading against the 2023 notices.
    • PV Tech notes that the cell-junction step has decided origin in past cases [24].
    • Polysilicon is ~70% US-made, targeting 100% by Q4-26 [5,33].
  • Why it matters: A certification path would let clean entries through even after an affirmative country-wide finding. That would turn Bear #1 from binary into manageable.
  • 😈 Devil's advocate:
    • The only source is TOYO's own account of a private meeting.
    • The Federal Register notice contains no certification mechanism [18].
    • The notice's scope is "parts and components" from China, not just wafers [18].
    • TOYO still has not named its Indonesian wafer supplier (Bear #3).
  • Verdict: Weak Medium. It is new since report #1 and points the right way, but it rests on one interested source.

🐂 Bull #8VSUN dependence keeps shrinking and the US brand is carved out

  • The point: TOYO is separating from the China-linked sister company that petitioners cite.
  • Evidence:
    • VSUN group share of revenue: 99% (2023), 66% (2024), 36% (2025), 22% (H1-26) [1,2].
    • VSun China's share of inventory purchases: 64.5% (2023), 55.0% (2024), 28.5% (2025) [1].
    • The VSUN trademark licence was extended, but excludes the US after 2026-09-12. Onozuka signed for TOYO [15].
    • The $11M VSun USA loan was repaid in H1 [2].
  • Why it matters: Less related-party trade means less room for value transfer, and a cleaner story for Commerce and CBP.
  • 😈 Devil's advocate:
    • VSUN group entities still prepay $64.7M of contract liabilities, and still lend $51.4M [2].
    • VSun Bac Ninh sold TOYO $7.4M of raw materials in Q2 [2].
    • CBP detained VSUN's own modules under UFLPA (decision confirmed 2026-01-11). Abalance said "sufficient evidence to allow for an exception could not be confirmed", and trade press thought the cells were likely Ethiopian [25].
    • The VSUN link is still evidence against TOYO, not just history.
  • Verdict: Weak The trend is real, but the VSUN detention shows the association still carries risk.

🐂 Bull #9Patent threats from Jinko and First Solar have receded

  • The point: The risk of a US import ban on TOYO's TOPCon cells has faded.
  • Evidence:
    • Jinko settled on 2025-12-30. The California case was dismissed on 2026-01-30 and the Texas case on 2026-02-20 [1].
    • First Solar announced on 2026-09-16 that it will withdraw its 337 complaint (which named TOYO, Toyo Solar Texas and VSUN Solar USA), citing Section 232 [28].
    • First Solar's district-court suits target Jinko, Canadian Solar, T1 and Trina, not TOYO [28].
  • Why it matters: A general exclusion order would have shut the Texas plant's cell supply.
  • 😈 Devil's advocate:
    • The withdrawal is "without prejudice". First Solar says it will "continue to pursue any bad actors" [28].
    • The Jinko settlement terms were not found, so a royalty may already weigh on margins [1].
    • The ITC's termination order was not found.
  • Verdict: Medium

Bear case

🐻 Bear #1Country-wide circumvention ruling due mid-December, deposits backdated to July

  • The point: Commerce is deciding whether cells and modules finished in Ethiopia from Chinese parts are covered by the 2012 China AD/CVD orders. TOYO is the main target.
  • Evidence:
    • The notice is 91 FR 44821, published 2026-07-17 [18]:
      • The inquiry is "country-wide" under section 781(b), covering orders A-570-979 and C-570-980.
      • "TOYO" is defined in the notice as Toyo Solar Manufacturing One Member PLC together with VSUN. Origin Solar is the other named producer.
      • The requesters are First Solar, Hanwha Q CELLS, Talon PV, Swift Solar, Great Lakes Solex, DYCM, Suniva and Silfab.
    • Deadlines: preliminary within 150 days (2026-12-14), final within 300 days (2027-05-13), both extendable [18].
    • If affirmative, suspension and cash deposits apply by default to entries from 2026-07-17. Commerce "may" reach back further, but not before 2021-11-04 [18].
    • Non-response risks "adverse facts available" [18]. TOYO says it is a mandatory respondent [5].
    • Petitioners say shipping data show almost no Indonesian wafers going to Ethiopia, and that ~70% of Ethiopian modules include already-tariffed inputs [22].
  • Why it matters:
    • Ethiopia is 4 of TOYO's 6 GW of cells and the source of its US-bound cells [5].
    • Vietnam cells already face Solar III rates (79.92% AD / 124.57% CVD preliminary, per the June deck), so they cannot replace Ethiopia [9].
    • Deposits backdated to July hit entries already sold.
  • 🛡️ Counter-argument:
    • Commerce may accept wafer-origin certification (Bull #7).
    • The 2023 precedent treated non-China wafers as non-Chinese [5].
    • TOYO's polysilicon is documented as US/Malaysian [5,23].
    • Origin Solar's 4.2 GW plant shares the risk, so TOYO is not singled out commercially.
  • Severity: High It is binary, two months away, aimed at two-thirds of capacity, and the notice itself offers no carve-out.

🐻 Bear #2CBP review drags on and the 35% customer has not returned

  • The point: A tiny forced-labour detention froze TOYO's biggest commercial relationship, and the promised release has not come.
  • Evidence:
    • CBP detained two entries on 2026-05-27/28 (0.094 MW, ~$13,770) [3].
    • The largest customer (35% of H1 revenue) and "certain US market customers" placed no orders in June [3].
    • Q2 third-party cell sales fell to $54.6M from $73.0M in Q1 [3].
    • On 2026-08-19 Resch said: "we're optimistic that we will see the detentions be released in this quarter" [33,34].
    • On 2026-10-06 the deck said the review "remains in progress" and that shipment timing "affected Q3, Q4 2026 earnings". CBP "remains very interested in visiting our Ethiopia facility" [5].
    • VSUN's own modules were detained under UFLPA in January 2026. Ethiopia-coded HTS 8541 detentions went from 4 (~$1.7M) in December 2025 to 23 (>$16M) in January 2026 [25].
  • Why it matters: The commercial damage (a 35% customer gone, an idle line, $6.5M of inventory write-down, $132M of inventory) is out of all proportion to the $13,770 detained. Buyers walk at the first compliance doubt [2,3].
  • 🛡️ Counter-argument:
    • About 79% of UFLPA-detained goods are eventually released [25].
    • CBP has visited Humble, TOYO met ~10 people at CBP's Electronics centre, and a C-TPAT profile is in progress [5].
    • The Intertek supply-chain audit found zero major findings [5].
  • Severity: High The deadline it promised (Q3) has already been missed, and there is no new date.

🐻 Bear #3No named wafer supplier, and VSun China supplied $95M in 2025

  • The point: The fact that decides Bear #1 is the one TOYO discloses least.
  • Evidence:
    • The 20-F calls VSUN's subsidiary the "crucial supplier of monocrystalline silicon wafer". 2025 purchases of raw materials and services from VSun China were $94.9M (2024: $48.5M) [1].
      • As a share of inventory purchases that is 28.5%, but in dollars it nearly doubled in the year Ethiopia ramped.
    • TOYO's wafer account has shifted:
      • "non-China countries" (May) [23];
      • "Southeast Asia" (July) [24];
      • "Indonesia and, as planned, the United States" (October) [5].
      • No supplier has ever been named.
    • Helper research found no confirmed operating Chinese-free ingot/wafer plant in Indonesia at scale. SEG Solar's 3 GW Batang plant targeted a Q3-26 start, and its status is unconfirmed [32].
  • Why it matters: If Commerce or CBP traces 2025–26 Ethiopian wafers to China, both the circumvention case and the UFLPA review go against TOYO.
  • 🛡️ Counter-argument:
    • Supplier names are commercially sensitive and may be on Commerce's confidential record.
    • VSun China purchases may include non-wafer materials and services.
    • TOYO says its polysilicon is US-made for US-bound product [5].
  • Severity: High A public company whose core legal defence is wafer origin, yet won't name the source, invites the worst reading.

🐻 Bear #4Guidance reaffirmed in May, withdrawn in September

  • The point: Management's public numbers have not survived contact with known risks.
  • Evidence:
    • On 2026-05-18 Onozuka said: "we are reaffirming our full-year 2026 outlook" (5.5–5.8 GW cells, $90–100M adjusted net income) [8].
      • That was five days after the 05-12 petition. The release did not mention it.
    • On 2026-08-19 management did "not reaffirm" guidance [33].
    • On 2026-09-28 TOYO replaced it with "confident that it will achieve positive EBITDA for the second half of 2026", with no revenue or profit figure [6].
    • H1 adjusted EBITDA was $82.3M, so the new bar allows H2 to be far worse [5].
    • Earlier: the FY24 earn-out was missed ($5.4M vs $41M) and FY24 results were revised between the preliminary and audited figures [1,47].
  • Why it matters: Investors cannot size H2. The Q3/Q4 hit is "as disclosed" but unquantified.
  • 🛡️ Counter-argument:
    • The causes (CBP, Commerce, Section 232) are external and were disclosed within the quarter.
    • FY25 revenue beat the raised guide [48].
  • Severity: Medium High.

🐻 Bear #5Two buyers are 57% of revenue and 81% of receivables

  • The point: Revenue rests on one third-party customer and one related party.
  • Evidence:
    • Revenue share by customer:
      • H1-26: one third party 35%, VSUN group 22% [2].
      • FY25: 40% and 36%.
      • H1-25: 65% and 18% [1,2].
    • Two customers held 69% and 12% of receivables at 6/30 [2].
    • Top-3 share: not found.
  • Why it matters: Bear #2 showed it already: one pause cut Q2 revenue 17% sequentially and left a line idle [3].
  • 🛡️ Counter-argument:
    • More than 50 third-party cell customers are under framework agreements [1].
    • The new module customers spread across segments [7].
    • Over time, Texas becomes TOYO's own largest cell customer.
  • Severity: Medium High.

🐻 Bear #6Three material weaknesses and an opaque controller chain

  • The point: Minority shareholders own a thin float in a company with weak controls, run inside a family of related firms.
  • Evidence:
    • Material weaknesses at FY25: insufficient US GAAP/SEC staff, no formal control policies or independent supervision, and weak IT controls. Disclosure controls were "not effective" [1].
      • Item 15 even refers to evaluation "as of December 31, 2024" [1].
    • Abalance (TSE: 3856) is called the "controlling shareholder" with approval rights over large transactions. The TSE fined it ¥43.2M in January 2026 [1].
    • Ownership data don't reconcile:
      • the 20-F shows Junsei Ryu with 30,339,264 shares (80.4%) via WA Global and BestToYo [1];
      • his 13G/A as of 2025-09-30 showed 25,527,385 [14].
      • The ~4.8M-share gap is unexplained, and how Ryu's holding relates to Abalance is not disclosed.
    • Float is only 14.57M of 42.72M shares [37].
    • CEO Onozuka owns no reported shares. Former CFO Chung held 30,000 at exit [17].
  • Why it matters: Weak controls plus related-party pricing (cost-plus to VSUN) raise the odds of a restatement or value leakage. A tiny float magnifies every move.
  • 🛡️ Counter-argument:
    • The new CFO Harada holds 1,058,918 shares via NOTAM Co. [17].
    • The auditor (Marcum Asia, since 2023) has not changed [1].
    • Ryu has not sold a share, and no pledge of his shares is disclosed [1,14].
  • Severity: Medium

🐻 Bear #7Section 232 taxes TOYO's own cell imports from December 4

  • The point: The new national-security tariff protects US cell makers, which TOYO is not yet.
  • Evidence:
    • Proclamation 11052 (signed 2026-08-06) applies from 2026-12-04 [19]:
      • a 15% duty;
      • minimum import prices of $0.22/W for cells and $0.38/W for modules, with a duty for any shortfall.
      • Ethiopia and Vietnam get no reduced rate.
    • Inaccurate certification can bring a permanent import bar [19].
    • BIS's anti-stockpiling rule runs from 2026-09-22 to 12-03 [20].
    • Onshoring relief needs a Commerce-approved plan, with construction started by 2029-01-20. Guidance had not been issued as of the sources reviewed [19].
    • TOYO has submitted a draft term sheet [5].
    • Management on the H1 call: "not yet in a position to quantify it" [33].
  • Why it matters: Interpretation: Ethiopian cells feeding Houston modules cost ~15% more from December. That cuts into the module margin just as volumes ramp. Estimate: ~$0.03/W on 1.3 GW ≈ $43M a year (see Headwinds).
  • 🛡️ Counter-argument:
    • The $0.38/W module floor lifts TOYO's own selling prices [19].
    • The HJT plant is exactly the "committed investment" onshoring rewards. Commerce officials attended the ribbon-cutting [5].
  • Severity: Medium

🐻 Bear #8Shares up 16% in six months, US cell plant unfunded

  • The point: The plan needs money the stock price can't raise cheaply.
  • Evidence:
    • Shares went from 36.71M (Dec-25) to 42.72M (6/30/26), +16.4% [2].
    • 2026 raises:
      • registered direct of 4.55M shares at $11.00 plus 4.55M warrants at $13.20, net $47.1M [10];
      • ATM sales of 414,495 shares at ~$13.79 [2].
    • About $24.3M of the ATM remains [2,11].
    • The 90-day lock-up on new issuance ended ~2026-09-23 [10].
    • HJT costs $357M, funded by ~$120M of unsigned debt, ~$120M of anticipated 45X and operating cash [5].
    • All 9.57M warrants ($5.50–$13.20) are far out of the money [2].
  • Why it matters: At ~$4.4, the remaining ATM alone would add ~5.5M shares (+12.9%). A larger raise would be worse.
  • 🛡️ Counter-argument:
    • HJT equipment payments are back-loaded: "a minority advance at signing, the majority after commissioning, paid quarterly over multiple years" [5].
    • The business generates cash today (Bull #2).
  • Severity: Medium

🐻 Bear #9Earnings quality: net-presented OEM revenue, reclassified idle costs, unpaid tax

  • The point: Reported margins and profit flatter the cash economics.
  • Evidence:
    • OEM service revenue ($37.2M in H1, $25.0M in Q2) is "presented as net revenue". The MD&A credits it for the margin increase, while the press release cites "improved production efficiencies" [3,4].
    • Ethiopia idle-line costs (~$3.4M) were moved from cost of revenue to G&A in June. G&A went from $5.3M to $12.8M [3].
    • Only $18K of tax was paid in H1 against $9.6M of expense [2].
    • The Ethiopian tax holiday ends after 2028 (standard rate 30%) [3].
    • An inventory write-down of $6.5M was taken, with recoverability called "uncertain" [3].
  • Why it matters: A 32.5% gross margin is partly a mix-and-presentation effect. Interpretation: steady-state margins on cells alone are likely lower than reported.
  • 🛡️ Counter-argument:
    • Net presentation of agency revenue is standard under US GAAP.
    • Operating cash flow ($61.4M) exceeded net income in H1 [2].
  • Severity: Medium

🐻 Bear #10US cell capacity and a rival Ethiopian plant erode the premium

  • The point: TOYO's product is a commodity whose price is propped up by policy, and new competitors are arriving.
  • Evidence:
    • US cell projects:
      • Qcells Cartersville started cells in June 2026, targeting 3.3 GW of ingot-wafer-cell [30].
      • Canadian Solar's Indiana HJT fab opened 2026-07-24 at 2.1 GW, with 6.3 GW expected by H1-27 [29].
      • T1 Energy's 2.1 GW slipped to Q1-27 [31].
    • 34+ GW of US cell capacity is under development [5].
    • Origin Solar runs 4.2 GW of cells in Ethiopia [22].
    • TOYO holds no granted patents [1].
  • Why it matters: Interpretation: from 2027–28, US-made cells take the domestic-content premium, and imported non-Chinese cells become the marginal supply.
  • 🛡️ Counter-argument:
    • Many fabs are late.
    • US cell output will still be far below ~43 GW of demand through 2028 [5,45].
    • The 232 floor props up all cell prices.
  • Severity: Medium (a 2027–28 issue).

🐻 Bear #11Ethiopia: conflict, a sliding birr and capital controls

  • The point: Two-thirds of capacity sits in a strained state.
  • Evidence:
    • June 2026 elections were suspended in 46 districts. The Fano insurgency in Amhara continues, and Ethiopia–Eritrea relations are deteriorating [42].
    • The birr trades at ~160–164 per USD (2026-09-05), against ~75 after the July 2024 float [43].
    • TOYO had $7.6M in Ethiopian deposits at FY25 [1].
  • Why it matters: A stoppage or trapped cash would compound Bear #1.
  • 🛡️ Counter-argument:
    • Hawassa is in the south, far from the northern fighting, and no site incident has been reported.
    • A weak birr lowers local costs.
    • The tax holiday runs to 2028 [3].
  • Severity: Low

Tailwinds NOT in the forecasts

Note: with the stock at ~1.4× FY27 consensus EPS, the market clearly does not believe consensus. Impacts below are measured against consensus, as the method requires. Consensus is two analysts: FY27 revenue ~$1.03B, EPS ~$3.26 (H.C. Wainwright) [38,39]. EPS uses ~43.0M diluted shares (42.72M outstanding; all warrants out of the money).

  • 45X credits recognised in FY27 earnings — 40% chance by FY27 results (~March 2028)

    • Impact on revenue: $0. First Solar-style accounting books 45X as a reduction of cost of sales, not revenue (estimate).

    • Impact on EPS: +$2.12 per share / +65% vs consensus FY27 ($3.26).

    • How we got the number (estimate): 1.3 GW of FY27 module output × $0.07/W = $91M (not taxable) ÷ 43.0M shares ≈ +$2.12.

    • Expected value: 40% × $2.12 ≈ +$0.85.

    • What it is: TOYO quantifies and books the module production credit. It is possibly also monetised for cash through transfer.

    • Why it's not priced in: Management guidance was explicitly "pre the 45X" [35]. No amount has been disclosed, and we assume the two analysts follow guidance. That is an assumption: their models are paywalled.

    • Trigger to watch: A 45X line in the Q3/FY26 results; a credit-transfer sale; Treasury safe-harbour tables (due 2026-12-31).

    • Why this probability: The statute and the third-party analysis support eligibility, but the cost test rises in 2027, its inputs are Ethiopian cells of disputed wafer origin, and management has avoided a number for nine months.

  • Section 232 onshoring agreement covering TOYO's cell imports — 28% chance by 2027-12-31

    • Impact on revenue: ~$0 (a cost item).

    • Impact on EPS: +$0.79 per share / +24% vs consensus FY27. This avoids the cost in Headwind #3.

    • How we got the number (estimate): 15% × $0.22/W × 1.3 GW = $43M × (1 − 21% US tax) = $34M ÷ 43.0M ≈ +$0.79.

    • Expected value: 28% × $0.79 ≈ +$0.22.

    • What it is: Commerce approves TOYO's plan tied to the HJT plant. Cell imports then become duty-free in proportion to the investment [19].

    • Why it's not priced in: Commerce guidance is not issued, only a draft term sheet exists, and management can't quantify the effect [5,33].

    • Trigger to watch: Commerce onshoring guidance; a signed TOYO term sheet; HJT permits and debt.

    • Why this probability: TOYO fits the programme's purpose and Commerce attended the opening. But it is simultaneously a circumvention respondent, and its HJT plant is unfunded.

  • ITC Solar IV affirmative (India, Indonesia, Laos) — 88% chance by 2026-11-02

    • Impact on revenue: not quantifiable. TOYO's sales prices on these routes are not disclosed.

    • Impact on EPS: not quantifiable.

    • How we got the number (estimate): n/a.

    • Expected value: not quantifiable. Likely small, because consensus probably already assumes it.

    • What it is: Orders with AD up to 123% (India) and CVD up to 173.7% (Indonesia) remove competing cell sources [26].

    • Why it's not priced in: It is largely priced; it is listed for completeness. The vote is 2026-10-14 [27].

    • Trigger to watch: The ITC vote on 2026-10-14.

    • Why this probability: The preliminary vote was unanimous and Commerce's final margins are very high.

  • Certification path or a narrow circumvention preliminary — 35% chance by 2026-12-31

    • Impact on revenue: ~$0 vs consensus. Consensus already assumes Ethiopian cells keep flowing; the value of this event is removing Headwind #1.

    • Impact on EPS: ~$0 vs consensus.

    • How we got the number (estimate): n/a.

    • Expected value: ~$0 vs consensus. Interpretation: versus the share price it is the largest single re-rating event.

    • What it is: Commerce lets certified non-China-wafer cells through, or limits the finding to Chinese-wafer inputs.

    • Why it's not priced in: The stock at 1.4× FY27 EPS prices an adverse outcome.

    • Trigger to watch: The preliminary determination (~12-14) and any certification language.

    • Why this probability: Commerce has reportedly floated it (TOYO's account only) and there is precedent. But the notice is country-wide, covers "parts and components", and TOYO hasn't named its wafer source.

Headwinds NOT in the forecasts

  • Affirmative circumvention ruling covering TOYO's Ethiopian cells, no workable certification — 42% chance by 2027-05-31 (final)

    • Impact on revenue: −$255M / −25% vs consensus FY27 (~$1.03B).

    • Impact on EPS: −$2.07 per share / −64% vs consensus FY27.

    • How we got the number (estimate): H1-26 third-party US cell sales $127.6M × 2 = $255M lost × 35% incremental margin = $89M (Ethiopia tax-exempt) ÷ 43.0M ≈ −$2.07. Retroactive deposits on entries since 07-17 come on top and are not quantifiable: the rate depends on Commerce's assignment.

    • Expected value: 42% × −$2.07 ≈ −$0.87.

    • What it is: China-order AD/CVD cash deposits on Ethiopian cells and modules, from 2026-07-17 [18].

    • Why it's not priced in: FY27 consensus (~$1.03B, about 2× FY26) assumes Ethiopian cells reach the US. Its models predate the 07-17 initiation [38,39].

    • Trigger to watch: The preliminary (~2026-12-14); respondent questionnaires; any adverse-facts language.

    • Why this probability: Country-wide initiations often end affirmative for some inputs, and VSun China's $94.9M of 2025 purchases is on the record. The 2023 non-China-wafer precedent and the floated certification idea keep it below a coin-flip.

  • CBP review runs into 2027 and the 35% customer stays away — 35% chance through FY27

    • Impact on revenue: −$180M / −17% vs consensus FY27.

    • Impact on EPS: −$1.47 per share / −45% vs consensus FY27.

    • How we got the number (estimate): 35% × H1 revenue $261M = $91M per half × 2 = $183M × 35% incremental margin = $64M ÷ 43.0M ≈ −$1.47. This partly overlaps with the headwind above; the two are not additive.

    • Expected value: 35% × −$1.47 ≈ −$0.51.

    • What it is: No release of the detained entries, a widened review, or the customer resourcing elsewhere.

    • Why it's not priced in: Consensus FY27 implies a full recovery. Management promised release "this quarter" in August [33].

    • Trigger to watch: Q3 results (~mid-November): third-party cell revenue and largest-customer share. Also a CBP Ethiopia site visit.

    • Why this probability: ~79% of UFLPA detentions end in release, but this one has run 4.5 months, and VSUN's own detention (January) was not cleared on the evidence [25].

  • Section 232 cost with no onshoring deal in FY27 — 65% chance for FY27

    • Impact on revenue: $0 to slightly positive: the $0.38/W module floor may lift prices. Not quantifiable.

    • Impact on EPS: −$0.79 per share / −24% vs consensus FY27.

    • How we got the number (estimate): 15% × $0.22/W × 1.3 GW = $43M × 0.79 ÷ 43.0M ≈ −$0.79. This assumes the cell import value is at or above the MIP (TOYO's cell price is not disclosed).

    • Expected value: 65% × −$0.79 ≈ −$0.51.

    • What it is: The duty on TOYO's own cells entering for Houston modules, from 2026-12-04 [19].

    • Why it's not priced in: Management can't quantify it [33]. The HCW cut of 2026-08-20 does not say whether 232 was modelled (paywalled) [39].

    • Trigger to watch: The Q4 module gross margin; any Commerce agreement.

    • Why this probability: The complement of the onshoring tailwind (~28%), plus time for any deal to start.

  • Equity raise at ~$4–5 within 12 months — 50% chance by 2027-10-31

    • Impact on revenue: $0.

    • Impact on EPS: −$0.37 per share / −11% vs consensus FY27.

    • How we got the number (estimate): remaining ATM $24.3M ÷ $4.40 = 5.5M shares (+12.9%). $3.26 × (1 − 1/1.129) ≈ −$0.37.

    • Expected value: 50% × −$0.37 ≈ −$0.19.

    • What it is: ATM sales or an offering to fund HJT, working capital or prepayment refunds.

    • Why it's not priced in: Management calls the HJT funding "non-dilutive" [5].

    • Trigger to watch: The ATM line in the Q3 6-K; the HJT debt not being signed by year-end.

    • Why this probability: The ATM is open, the lock-up has expired, debt is unsigned, and TOYO raised twice in H1.

  • Production stoppage in Ethiopia — 8% chance within 36 months

    • Impact on revenue: −$90M / −9% vs consensus FY27 for a three-month outage (estimate).

    • Impact on EPS: −$0.73 per share / −22%.

    • How we got the number (estimate): a quarter of Ethiopian US-bound cell output ≈ $90M × 35% ÷ 43.0M ≈ −$0.73.

    • Expected value: 8% × −$0.73 ≈ −$0.06.

    • What it is: Conflict spreading south, a Djibouti corridor cut, power failure or capital controls.

    • Why it's not priced in: Nothing in guidance or consensus.

    • Trigger to watch: Fighting south of Amhara/Afar; corridor disruption; birr controls.

    • Why this probability: Hawassa is far from the current fighting, and no incident has been reported.

  • First Solar refiles TOPCon patent claims against TOYO — 15% chance within 36 months

    • Impact on revenue: not quantifiable. Royalty terms (e.g. the Talon PV licence) are not public.

    • Impact on EPS: not quantifiable.

    • How we got the number (estimate): n/a.

    • Expected value: not quantifiable.

    • What it is: A district-court or new 337 action against TOYO's cells or Texas modules [28].

    • Why it's not priced in: The withdrawal was read as a resolution.

    • Trigger to watch: New First Solar filings naming TOYO or VSUN.

    • Why this probability: First Solar withdrew citing Section 232 and is pursuing larger targets. TOYO is small, but it now sells US-made TOPCon modules.

Investment Risk Score: 56/100 (elevated)

# Factor Weight Measured value Score Why
1 Liquidity & funding runway 15% H1-26 FCF +$33.7M; cash $103.5M vs bank $25.7M + VSUN $51.4M (due 2028-06); claims: tax $24.8M, capex $40.1M, prepayments $114M; HJT $357M unfunded 40 FCF-positive with net cash (0–20 anchor). Scored up because H2 is guided only to "positive EBITDA", the cash is spoken for, and the big project is unfunded.
2 Leverage 10% Net cash ~$26M; ~$11M net debt incl. $37.6M leases vs H1 adj EBITDA $82.3M 18 Effectively net cash. The main loan is a 2% related-party loan with interest at maturity.
3 Dilution (last 12 months + overhang) 10% Shares 36.71M → 42.72M (+16.4% in 6 months); 9.57M warrants all out of the money; $24.3M ATM left (~+13% at $4.40) 68 In the +10–25% band, with an open ATM and an expired lock-up.
4 Profitability 10% FCF margin 12.9% H1-26; LTM ~14% (H2-25 ~$42M + H1-26 $33.7M on ~$549M revenue); GAAP op margin 22.5% H1 40 In the 5–15% FCF band. Pushed to the top of that band because H2 is unguided, Q2 FCF was ~4%, and the margin is partly OEM net presentation.
5 Revenue quality & concentration 10% Top customer 35% H1-26 (40% FY25); VSUN 22%; two customers 81% of receivables; order-by-order commodity sales 76 Above 35% top customer. That customer has stopped ordering.
6 Execution & track record 10% 3 material weaknesses (FY25); FY26 guide withdrawn 4.5 months after reaffirmation; FY24 earn-out $5.4M vs $41M; capacity builds on time 82 The anchor says material weakness = 81–100. The build record keeps it at the bottom of that band.
7 Competitive position & disruption 10% No granted patents; US cell capacity 3.2 GW operating / 34+ GW in development; Origin Solar 4.2 GW on the same Ethiopian route 66 Commodity product whose premium is policy-made and is being copied domestically.
8 Cyclicality & commodity/macro sensitivity 10% Solar cell pricing; peer Jinko FY24 revenue −22.3%, gross margin 10.9%; US demand ~43 GW/yr on credit-driven pipeline 70 Highly cyclical, single-product, and policy-priced.
9 Regulatory, legal & geopolitical 5% Country-wide circumvention preliminary ~12-14 on 2/3 of capacity; UFLPA review open; 232 from 12-04; PFE tables 12-31; Ethiopia conflict 85 Near-existential for the US cell business in one ruling.
10 Valuation & expectations 10% P/E 1.8 trailing, ~1.4× FY27 consensus; EV/EBITDA 1.3; short 29.5% of float, 4.6 days to cover 40 Cheap vs every peer and its own history (0–20), but heavy short interest on a fragile story (81–100). Netted toward the cheap end because expectations are already at distress levels.

Overall: weighted average = 6.0 + 1.8 + 6.8 + 4.0 + 7.6 + 8.2 + 6.6 + 7.0 + 4.25 + 4.0 = 56.

Change vs last: −10 (66 → 56). Most of the change is the move from the old 6-area method to the 10-factor method:

  • Liquidity, leverage and profitability now score explicitly. They came out better than report #1 assumed, because the VSUN loan is $51.4M, not $93.6M, the going-concern note is lifted, and FCF is positive.
  • Regulatory risk got worse (85 vs 92 old scale, but now with a dated, country-wide ruling). Because it is weighted 5% in v3 against 10% before, it pulls the total less.

Ranking check: TOYO at 56 sits just above ALM (55) and below EROC (58):

  • Like Almonty, it has one concentrated operating asset base, a material weakness and a binary 2026 catalyst, but TOYO carries net cash and positive FCF.
  • It ranks below EROC, which shares the weak controls and concentration but has a weaker cash position.
  • It ranks well below IAUX (64), which burns ~$186M a year.

Conclusion

  • What you are really betting on: That US agencies accept TOYO's Ethiopian supply chain as non-Chinese, through certification or a narrow ruling, and clear the CBP review. That would let the Texas module plant, plus 45X, carry earnings until a US cell plant exists. If that happens, today's ~1.4× FY27 multiple is absurd. If not, the FY27 consensus loses roughly two-thirds of its EPS.
  • The 2–3 things that will decide the outcome:
    1. The circumvention preliminary (~2026-12-14), especially any certification language.
    2. CBP's decision on the detained entries, and whether the 35% customer reorders: visible in Q3 results, ~mid-November.
    3. A disclosed 45X number and an onshoring term sheet before Section 232 bites on 12-04.
  • Signposts:
    • Bull case confirmed:
      • Commerce publishes a certification path, or the preliminary excludes non-China-wafer cells.
      • CBP releases the entries and Q3/Q4 third-party cell sales recover to ≥$70M a quarter.
      • TOYO books a 45X amount, or sells credits for cash.
      • A signed HJT debt facility, or a Commerce onshoring agreement.
    • Bull case broken:
      • An affirmative preliminary with no certification, and deposits from 07-17.
      • The ATM is used or a new offering is made below $6.
      • The largest customer is still absent in Q4.
      • A further executive departure, or new related-party transactions with VSUN.
  • New since the last report:
    • The balance sheet is better than reported: the VSUN loan is $51.4M, not $93.6M; the BIDV $90M was repaid, not undrawn; going-concern doubt is lifted; and H1 FCF was +$33.7M.
    • The circumvention notice is country-wide and names VSUN together with TOYO. Deposits default to 07-17, and the notice contains no certification. TOYO says Commerce floated certification informally (around 10-01).
    • The CBP release promised for Q3 did not happen. VSUN's own modules were detained in January. The wafer supplier is still unnamed, while VSun China purchases were $94.9M in 2025. The "demand cliff after 2027" bear was dropped, because the 216–240 GW safe-harboured pipeline supports ~44 GW a year to 2030 [45].

Open questions & data gaps

  • The wafer supplier and the share of 2025–26 Ethiopian cells made from VSun China wafers. Not found. This is decisive for Bear #1, Bear #3 and the 45X cost test.
  • Who the 35% customer is, and whether it ordered in Q3. Not disclosed. It is decisive for H2 and the FY27 consensus.
  • Ryu's holding: 30.34M shares (20-F) vs 25.53M (13G/A at 2025-09-30), and the link to Abalance. Unresolved. This matters for governance and for PFE "foreign-influenced" tests.
  • Whether the $240M of module orders includes the $185.6M. Not stated. It changes the module backlog by ~$186M.
  • What the analysts' models include (45X, Section 232, a circumvention scenario). Paywalled. Our "not in consensus" sizing assumes they follow management's pre-45X guidance.
  • TOYO's cell selling price versus the $0.22/W MIP. Not found. It determines whether the 232 cost is just the 15% duty or also a shortfall duty.
  • The Q2/H1 call Q&A and the 10-06 Analyst Day transcript. Only secondary transcripts were available, and there was no transcript of the Analyst Day.
